$QAIS Token Disclosure

Last updated 2026-08-23 · the canonical source is docs/legal/TOKEN-DISCLOSURE.md in the repository.

$QAIS is the ERC-20 utility token used for payments and staking on the QueraIS network (Arbitrum One, chainId 42161). Read this before you acquire any. This document is risk disclosure, not advice, and not an offer of securities.

How $QAIS is acquired: OTC only

  • There is no DEX pool, no CEX listing, and no token generation event. None has occurred. None is planned with certainty — if liquidity ever exists someday, it will be announced in the repository first; anything else claiming otherwise is a scam.
  • Acquisition happens by over-the-counter direct arrangement with the operator (or, for node operators, by sourcing tokens from other holders yourself).
  • P=$0.01/QAIS is a reference price only. It is a bookkeeping convention, not a market price, not a promise, and not redeemable at that rate or any rate.

You can probably not sell it

$QAIS is illiquid. With no listing and no pool there may be no market at all: no buyer, no price discovery, no exit. Treat every QAIS as money you have spent, not money you hold.

Smart-contract risk

  • The contracts were reviewed internally and through adversarial review, but they remain experimental software.
  • All nine contracts are deployed non-upgradeable — no proxy admin can fix them. A bug found tomorrow is permanent.
  • Interactions are irreversible by design: wrong addresses, lost keys, and front-run transactions cannot be undone.

Governance concentration

Until decentralization phases complete, the operator's multisigs hold admin and pauser rights, and the operator holds oracle/settler keys operationally. This means: contracts can be paused; disputes are fed by operator-controlled oracles today; settlement depends on operator keys. This is stated plainly in the Terms trust-model section.

Regulatory uncertainty

Token classification differs by country and changes over time. Acquiring, holding, or being paid in $QAIS may have legal and tax consequences where you live, which are yours alone to determine. The operator makes no representation about how any regulator treats $QAIS.

What $QAIS is NOT

  • Not an investment offering. Nothing is being sold to raise money under any securities regime.
  • Not equity. No dividends, no ownership, no governance votes, no revenue share beyond what the staking contracts mechanically distribute.
  • Not a currency promise. Merchants accept nothing; only QueraIS compute prices are denominated in it.
